Developer Agreement

This developer agreement applies to members of the Coded community who are selling their creative works on Coded Market

Coded is a community of designers, developers, and makers from all of the world. We collaborate and share our work and ideas across dozens of languages in over 150 countries. We respect each other and hold each other accountable to a high standard both as individuals and as makers. Some rules that we expect you to follow as a member of the Coded community are outlined in this Developer Agreement.

Before joining Coded as a developer, you, the user whose details are listed as the account holder, agreed to the Terms and Conditions and Privacy Policy of The Hummingbird Group, Inc. (“Coded”, “we” and/or “Hummingbird”). This Developer Agreement applies exclusively to users who intend to sell their products on Coded. When submitting a product for sale on Coded, you agree to these terms.

Joining Coded as a developer is free. When a buyer purchases a license to use your products, we will charge a developer fee of 10% of the sale price of the license. Sometimes, we may adjust the listed price of your product to attract buyers. This price adjustment may be seen as a coupon, discount, sale, or limited offer. Coded tries to offer the highest commission rates of any creative marketplace. This means that you earn 90% of the sale price of your product. For example, if you list your product for $10, we may sell a license to your product for any amount between $8 and $12. If a buyer purchases your product for $10, your Coded account will be credited for $9. However, if a buyer purchases your product for $8 because we have adjusted the sale price of your product, your Coded account will be credited $7.20. By using this price optimization method, we can increase earnings for developers and attract more buyers to the Coded community. This means higher earnings for you over time.

When a buyer purchases a license on Coded, they purchase in United States Dollars. After the purchase is confirmed, your Coded account will be credited in United States Dollars. When you make a withdrawal from your Coded account, the withdrawal will be made in United States Dollars. If you live in a country other than the United States of America, we will charge a 2% fee in accordance with our International Funds Transfer Policy. You are responsible for converting your earnings to your desired currency and Coded is not responsible for fees from your financial institution for this conversion.

When you sell an item on Coded, you are making your product available for buyers to use the product under certain conditions outlined in our Coded Market Single-User License. Buyers may edit, modify, and share your product for personal and commercial use. Please read the license so that you are familiar with what buyers are expecting from their purchase.

When a buyer purchases an item on Coded, we will charge a service fee to the buyer depending on the nature of the product. The sale price of your product does not include this service fee. Your commission is calculated from the sale price of your product and does not include any fees that we may charge to the buyer.

Depending on the location of the buyer, we may charge, collect, and account for taxes on your behalf. Common taxes include VAT in European Union member states, and sales tax in marketplace states in the United States. You are responsible for paying taxes on your earnings in accordance with your local taxation laws. In order to sell products on Coded, you must submit accurate tax information for your account. You can do so from the Account Settings > Tax Information page in your Coded Developers dashboard at https://developers.coded.market.

If required by law, we may deduct or withhold taxes from your earnings. By keeping your tax information up-to-date and accurate, you can help us to handle your taxation properly. We may ask for you to verify your identity when submitting tax documents. Your failure to comply with our request for accurate documentation and and identification may result in your account suspension.

When a buyer purchases a license for your product, we will issue an invoice for the transaction between you and the buyer. We may share your account details with the buyer in accordance with local laws.

When you sell a product on Coded, you agree that you have the right to sell the product, its parts, assets, and dependencies. You agree that by issuing the license to the buyer, that you are not infringing on someone else’s intellectual property, copyright, or equivalent. You agree that the product matches the description that you provide, and that the product does not contain any viruses, malware, malicious code, surveillance functions, or similar. You agree that you will offer support for your item for a minimum of 30 days after the purchase of the license. You agree that you will offer support in accordance with the Coded Customer Success SLA.

Here are some basics about customer support on Coded:

You agree to offer support exclusively through the Customer Success portal on the Coded Developers dashboard and not through a third-party ticketing system.

  • You agree to treat customers with respect and to try your best to be helpful and courteous.

  • You agree to respond to support requests in a timely manner.

  • You agree to represent yourself as an individual or a member of your agency, and not as a representative of Coded or The Hummingbird Group, Inc.

  • If we release the personal information of the buyer to you, you agree to process their information in accordance with our Privacy Policy.

  • We reserve the right to suspend your account or withhold earnings if you do not offer timely customer support for your products.

You give an indemnity to and are liable to each buyer of your products.

We are not liable for any loss suffered by you as a result of a buyer or any other person making use of your product in a way that is against the license or Coded terms.

We reserve the right to remove your product, deactivate or suspend your account, and withhold earnings at any time.

Nothing in this Developer Agreement constitutes a partnership, joint venture, employment or agency relationship between you and Coded. You appoint us as your limited agent for receiving payments from buyers, for passing on your warranties to buyers, and for limiting your liability to buyers.
